How can theme upgrades impact the performance of my online store?

We are currently using Dawn theme 2.4.0, and I realise we should upgrade to the latest version of the Dawn 9.0.0

We have quite a bit of bespoke code, my questions are

  1. Is there any disadvantage to keeping the current older theme we currently have, as it looks as we need it to, or could this be negatively affecting the performance of our store?

  2. I realise that a theme upgrade requires liquid and coding skills, so can I get a quote on how much it would pay to have a developer do this for us where the bespoke code is kept separate for ease of future updates?
