Does the Shopify Partner Policy prohibit Shopify Experts from providing their
Full Identity and Contact Information
to Clients
and Prospective Clients?
Hi, @PSUSA .
That is a great question! We don’t currently have any terms that prevent you from divulging your personal information to your clients. That being said, it is always best to keep conversations with merchants within the Expert Marketplace. This is for your protection, as well as the merchant.
Best of luck!
Thanks for clarifying the Identity Confirmation issue.
Are there any prohibitions about IP Protection agreements or NDA’s ?
Does Shopify have available any texts that Experts may use ?
Hi, @PSUSA
Can you elaborate on what you refer to by “available texts?”
Additionally, it sounds like you are looking for a legal break down of the Shopify Partner Agreement. If so, I recommend consulting with a legal professional to break down the full agreement. Or, if you can provide an example situation, or more context on the situation you are concerned about, I can provide a specific answer.
An “available text” could be a Guideline, or a series of bullet points concerning an Expert’s permitted or prohibited conduct or supplemental agreements with a client or prospective client.
I gather that you are not a lawyer, but you seem to have a good understanding of the Shopify Partner Agreement. IP Protection and NDA’s are fairly standard development agreements. I was curious to know if an Expert is prohibited from entering into such agreements with a client or prospective client.
Thanks so much for sharing your professional expertise on these matters.
Hi, @PSUSA .
Thank you for following up! You are correct that NDA’s and IP Protection are fairly standard in agreements. However, there are limitations on said agreements that the answer is not black and white.
To be able to answer more directly, we would need to know the specific situation with full context. For example, are you planning on having merchants sign NDAs as part of the work agreements? If so, the contents of which, could potentially go against the existing partner agreements. While I don’t believe it’s prohibited, it would need to be in line with those agreements.
Thank you for your attention to this inquiry.
While I am not seeking legal guidance from you, you seem to be quite familiar with the nuances of the Shopify Partner Agreement - at least more than I am. Could you explain how an NDA “…. could potentially go against the existing partner agreements.“ ? Your insight on this subject will help enormously in establishing a protected relationship with clients while respecting the requirements of the Shopify Partner Agreement.
One other compliance question -
How do I share a Shopify Expert Review link so that clients can post their comments and share their un-varnished opinions concerning an Expert’s work and performance ?
Thank you so much for participating in these forum dialogues.
Your contributions are extremely helpful and most appreciated.
Hi, @PSUSA ,
Contracts and agreements can definitely be overwhelming. While it may not seem like it, providing direct answers regarding a legal document is legal advice. While I would love to provide clear answers, I currently can’t do that without full context regarding your specific situation. Any questions regarding compliance with a legal document is best to be addressed by a legal expert. This is for your safety.
A very basic example of an NDA going against the Shopify Partner Agreement, would be if you were a 17 year old, and the merchant knowingly signed an NDA stating they would not divulge your age. As being 17 years old breaks the Partner Agreement, the NDA would go against our terms.
